Ramona Morgan founded Morgan Business Counsel to advise businesses at moments where legal decisions shape control, value, and what comes next.

Ramona began her legal career at Cleary Gottlieb Steen & Hamilton, where she practiced in New York, London, and Paris on sophisticated cross-border matters. She later served as Director and Assistant General Counsel at The Depository Trust & Clearing Corporation (DTCC), advising on market infrastructure initiatives and industry-wide strategic projects.

She brings senior-level legal judgment to founders, leadership teams, and investors navigating growth, capital, governance, and transition. Her work emphasizes structure and sequencing—helping clients make decisions that endure over time, rather than addressing isolated issues without regard to downstream consequences.

Before founding Morgan Business Counsel, Ramona advised businesses and organizations on complex transactions, financings, governance matters, and stakeholder dynamics. Her experience spans both commercial and mission-driven enterprises, giving her a practical understanding of how legal decisions operate inside real, evolving businesses.

Morgan Business Counsel was intentionally built to move beyond a traditional solo practice. The firm is structured around defined advisory engagements, repeatable patterns, and long-horizon thinking—creating a platform that serves sophisticated clients while supporting sustainable growth.

Ramona works directly with clients at critical inflection points and is building a firm that attracts experienced attorneys who value judgment, clarity, and disciplined legal work. She is based in New York and advises clients nationally.

An entrepreneur at heart, Ramona founded and bootstrapped Ruth’s Beauty, scaling the business from the ground up while serving as its general counsel. This experience informs her business-minded approach and gives her firsthand insight into the legal, operational, and strategic realities founders and leadership teams face.

Across her work, Ramona is known for clear judgment, thoughtful negotiation, and an ability to translate complex legal concepts for senior executives, boards, and sophisticated stakeholders.

Community Involvement

Ramona serves as a board member and Treasurer of the Adelaide Sanford Institute, a nonprofit educational organization focused on improving educational outcomes for children in central Brooklyn. She is also a member of the Phillips Academy Andover Alumni Council.
